Legal terms governing collaboration and project execution.

1. Scope of Application

These Terms and Conditions apply to all project collaborations between WDA and the client, unless expressly agreed otherwise in writing.

Any conflicting terms from the client shall only apply if explicitly accepted by WDA in writing.

Services are provided based on the agreed proposal, including scope, timeline and delivery model.

WDA may use suitable tools, workflows and technical standards to deliver the contracted service efficiently.

The agreed scope of work is defined in the proposal or statement of work.

Any changes, additions or extensions requested after approval may require timeline and fee adjustments.

Invoices are due according to the agreed payment schedule stated in the proposal or contract.

If payment is delayed, WDA may pause delivery until outstanding amounts are settled.

Client receives usage rights to deliverables upon full payment of all agreed fees.

Unless otherwise agreed, WDA retains ownership of pre-existing know-how, methods, reusable components and internal tooling.

Client shall provide required information, access credentials, feedback and approvals in a timely manner.

Project delays caused by missing or late client input may result in timeline adjustments.

Both parties agree to treat confidential information as strictly confidential and use it only for project purposes.

This confidentiality obligation remains in effect beyond project completion, unless otherwise required by law.

WDA is liable only for intent and gross negligence, subject to applicable mandatory law.

Liability for indirect damages, consequential losses or loss of profit is excluded to the extent legally permissible.

Either party may terminate the collaboration for cause with immediate effect if a material contractual breach remains uncured.

In case of termination, services performed up to the effective date remain payable.

These Terms and Conditions are governed by the laws of the Federal Republic of Germany.

Place of jurisdiction is the competent court at WDA’s registered seat, where legally permissible.
